Welcome to SGUA TechBridge Association. These Terms of Service govern your use of our website, services, and participation in our non-profit community. By accessing our services or becoming a member, you agree to these terms.
1. Acceptance of Terms
By accessing or using the services provided by SGUA TechBridge Association ("SGUA," "we," "our," or "us"), including our website at sgua.org, events, programs, and membership services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
If you do not agree to these terms, please do not use our services. We reserve the right to update these terms at any time, and your continued use of our services constitutes acceptance of any changes.
2. About SGUA TechBridge Association
SGUA TechBridge Association is a non-profit organization dedicated to fostering collaboration between Singapore and Ukraine technology ecosystems.
Non-Profit Status
As a non-profit organization, all funds received are used exclusively to support our mission. We do not operate for profit, and all services are provided to benefit the tech community.

When using SGUA services, you agree to:

- Treat all community members with respect and professionalism
- Provide accurate information in your profile and communications
- Respect intellectual property rights
- Maintain confidentiality of sensitive information
- Report any violations of these terms
DON'T:
- Use our services for illegal or unethical purposes
- Harass, discriminate, or harm other members
- Share false or misleading information
- Spam or send unsolicited commercial messages
- Attempt to breach our security or access unauthorized data

SGUA Content
All content on our website and services, including text, graphics, logos, and software, is the property of SGUA or its licensors and is protected by intellectual property laws.
User Content
By submitting content to SGUA (including profiles, posts, or presentations), you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content for our non-profit purposes.
Third-Party Rights
You represent that any content you submit does not infringe on third-party intellectual property rights and that you have necessary permissions.

Your privacy is important to us. Our use of your personal data is governed by our Privacy Policy, which is incorporated into these Terms of Service by reference.
By using our services, you consent to the collection and use of your data as described in our Privacy Policy, in compliance with Singapore's PDPA and other applicable laws.
7. Disclaimers and Limitations
No Warranty
SGUA services are provided "as is" without warranties of any kind. We do not guarantee specific outcomes from participation in our programs or use of our services.
Limitation of Liability
To the fullest extent permitted by law, SGUA shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services.
Third-Party Services
We may link to or integrate third-party services. We are not responsible for the content, privacy practices, or services of these third parties.
8. Termination
We reserve the right to suspend or terminate your access to our services if you violate these terms or engage in conduct harmful to our community.
You may terminate your membership at any time by contacting us. Upon termination:
- Your access to member-only services will cease
- We will handle your data according to our Privacy Policy
- Voluntary donations are non-refundable
9. Governing Law and Dispute Resolution
Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles.
If a dispute arises between you and SGUA, we are committed to resolving it fairly and efficiently through a three-tier approach:
Good Faith Negotiation (Mandatory)
Before pursuing any formal dispute resolution, both parties must attempt to resolve the dispute through good faith negotiation for a period of 30 days. Contact our designated representative at legal@sgua.org.
Timeline: 30 days minimum
Mediation (Encouraged)
If negotiation does not resolve the dispute, we strongly encourage mediation through the Singapore International Mediation Centre (SIMC) or another mutually agreed mediator. Mediation is a voluntary, confidential process where a neutral third party helps facilitate a mutually acceptable resolution.
Costs: Shared equally between parties
Singapore Court Jurisdiction (Final Resort)
If the dispute cannot be resolved through negotiation or mediation, you and SGUA irrevocably submit to the exclusive jurisdiction of the courts of Singapore. Any legal proceedings shall be conducted in English.
Jurisdiction: Singapore courts (exclusive)
By agreeing to these Terms of Service, you waive any right to bring disputes in any other jurisdiction and agree that Singapore law shall govern all matters.
10. Changes to Terms
We may update these Terms of Service from time to time. Significant changes will be communicated through:
- Email notification to members
- Prominent notice on our website
- Update to the "Effective Date" at the top of this document
Your continued use of our services after changes indicates acceptance of the updated terms.
